How can I secure lead investment?

Why is it important?

If you haven’t already found some investors to commit to the raise, it’s important to research and engage potential lead investors within or outside of your own network early on to ensure you have the right foundation to start off your campaign.

How does it impact my campaign?

Your pitch will first launch in private mode, giving you the chance to secure this lead investment before going fully live to the crowd. During this private mode, you will be able to view your pitch page, as will anyone you share the URL with. Your pitch will not be discoverable on our website without the private URL. Your pitch will remain private until your reach the 30% threshold.

How to secure lead investment

The best place to start is by thinking about your own network and who within your reach might have the funds to be your part of your cornerstone investors. You will need to have your pitch deck ready. You may also want to consider approaching angel & investor networks.

What is the right amount of cornerstone investment to bring to my pitch?

The short answer is...as much as possible!

It’s super important to engage your own network early on to ensure you build momentum right from the start of your campaign. Your pitch will remain private until you reach 30% of your investment target, only people you share your campaign URL with can see and invest in your pitch. You should share your pitch with any lead investors as well as giving your own network of customers, family, friends, advisors, partners and business contacts exclusive access to your pitch.

Once you reach the 30% mark, your pitch will be made public and therefore visible to anyone visiting the Fundstrtr site. In order to maximise the success of your crowdfunding raise, you should, of course, continue to promote your pitch to your own network throughout the duration of your time on Fundstrtr.

What fees does Fundstrtr charge for raising finance on the platform?

There is no fee for listing your business on Fundstrtr, a success fee of between of 7.5% -10% is only charged on the amount you successfully raise.

How much can I raise?

The minimum amount you can raise on the platform is $40,000.

Direct or nominee, which is best for my business?

Fundstrtr offers both a direct or nominee structure, as well as a combination of the two, so you can choose which works best for your business. The main advantage of a direct shareholder model is that it enables you to foster a stronger relationship with your investors. Also, majority of larger investors may require direct investment.

With a nominee, Fundstrtr is the legal owner of, the investment on behalf of your investors, so you only have one legal shareholder on your share register and cap table.

How do I prepare my cap table?

Your cap table should be prepared on a fully-diluted basis. This means it should include all dilutive elements including:

A list of all of your existing shareholders and the number of shares held by each of them The total number of options that your company has granted or which exist in a “pool” available for allocation, e.g. to your employees. This is the total number of options/shares available to be allocated, not just those that have been allocated already.

Launching on Fundstrtr

Your pitch will launch privately until you reach 30% of your investment target, giving you time to secure investment from your lead investors and own network before your raise goes public.

Managing your live pitch

When your pitch is live your aim should be on actively promoting your crowdfunding campaign. This includes ongoing marketing of the campaign to your own network of customers and contacts, promotion via your website and social channels, as well as regular updates on your Crowdcube pitch page.

Completion of your round

Once you've reached your funding target and the pitch has closed to investment, we'll start our completions process. We will complete anti-money laundering checks on your investors, inform them of the cooling off period via email, complete our final legal checks, capture payments and issue share certificates. We will also work with you to complete the necessary filings.
